Amazon Partnership Agreement This partnership agreement ("Agreement") is made and entered into on [DATE] by and between Amazon.com, Inc., a Delaware corporation with its principal place of business at 410 Terry Avenue North, Seattle, Washington 98109-5210 ("Amazon"), and [CLIENT NAME], a [STATE/COUNTRY] corporation with its principal place of business at [ADDRESS] ("Client"). 1. Purpose The purpose of this Agreement is to outline the terms and conditions under which Amazon will provide certain services to Client. 2. Services Amazon agrees to provide Client with access to its online marketplace, as well as other related services, including but not limited to: * Fulfillment by Amazon (FBA) services; * Merchant Fulfillment services; * Seller Central services; and * Other services that may be made available from time to time. 3. Compensation Client agrees to pay Amazon a commission on all sales generated through the use of Amazon's services, as outlined in Schedule A attached hereto. 4. Term and Termination The term of this Agreement shall commence on the effective date hereof and continue until terminated by either party with written notice to the other. Upon termination, Client shall cease using Amazon's services and return all Amazon property to Amazon. 5. Representations and Warranties Client represents and warrants that: * It has the power and authority to enter into this Agreement; * It is not in breach of any other agreement; and * It will comply with all applicable laws and regulations. Amazon represents and warrants that: * It has the power and authority to enter into this Agreement; * It is not in breach of any other agreement; and * It will comply with all applicable laws and regulations. 6. Indemnification Client agrees to indemnify, defend, and hold harmless Amazon and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, and expenses arising out of or related to Client's use of Amazon's services. 7. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the State of Washington, without giving effect to any principles of conflicts of law. 8. Dispute Resolution Any disputes arising out of or related to this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. By signing below, the parties acknowledge that they have read, understand, and agree to be bound by the terms and conditions of this Agreement.
